Section 01

Agreement to Terms & Acceptance

These Terms and Conditions constitute a legally binding agreement between you (whether personally or on behalf of an enterprise entity, client, student, or educational institution) and Coder Roots Technologies ('Coder Roots', 'Company', 'we', 'us', or 'our').

By accessing our website (coderroots.com), commissioning custom software engineering services, enrolling in an industrial training program, or executing an academic memorandum of understanding (MoU), you acknowledge that you have read, understood, and agree to be bound by all of these Terms and Conditions.

If you do not agree with all of these terms, you are expressly prohibited from using the website, engaging our services, or registering for our courses, and you must discontinue use immediately.

Section 02

Enterprise IT & Software Engineering Services

Project Statements of Work (SOW): All custom software development, AI model integration, mobile application development, cloud infrastructure architecture, and cybersecurity audits are governed by individual SOWs, milestone schedules, and technical requirements agreed upon in writing between Coder Roots and the client.

Change Management: Any modifications to scope, deliverables, feature specifications, or timelines requested after project kick-off will be subject to a formal Change Request (CR) process and may incur additional engineering hours and budget adjustments.

Deployment & Acceptance Testing: Clients are granted a defined User Acceptance Testing (UAT) window (typically 10 business days unless specified otherwise in the SOW) to audit deliverables against agreed acceptance criteria. Deliverables not contested within this window shall be deemed accepted.

Section 03

Student Registrations & Industrial Training

Program Enrollment: Coder Roots provides live-project industrial training courses, fast-track bootcamps, and institutional internships. Registration is confirmed only upon receipt of the registration fee and issuance of an official CoderRoots registration slip.

Code of Conduct: Trainees are expected to maintain professional etiquette, attend scheduled mentor sessions, respect intellectual property, and adhere to lab guidelines. Coder Roots reserves the right to terminate enrollment without refund for academic dishonesty, malicious system tampering, or disruptive conduct.

Certification Requirements: Official ISO 27001 / ISO 9001 accredited Certificates of Completion are awarded solely upon fulfilling minimum attendance thresholds (85%+), submitting verified capstone code repositories, and successfully completing practical evaluations.

Refund Eligibility: All student refund requests are strictly governed by our published Refund Policy. Eligible students who decide not to continue may request a 75% refund within 4 days of registration by presenting their registration slip.

Section 04

Academic & Institutional Partnerships

Memorandums of Understanding (MoU): Campus tech collaborations, school robotics/STEM labs, and university industrial apprenticeships operate under mutually executed MoUs outlining faculty development programs (FDP), curriculum modules, and NAAC/NBA accreditation support.

Resource Utilization: Educational institutions agree to provide suitable classroom facilities, computing infrastructure, and network access for campus sessions as specified in the partnership agreement.

Student Safety & Data Privacy: Both parties commit to safeguarding student records and complying with applicable educational privacy standards and data protection regulations.

Section 05

Intellectual Property Rights & Code Ownership

Client Deliverables: Upon full and final settlement of all applicable invoices, all custom source code, bespoke designs, database schemas, and tailored assets developed specifically for the client shall transfer to the client, subject to the terms of the applicable SOW.

Pre-Existing IP & Frameworks: Coder Roots retains all rights, title, and interest in its proprietary developer boilerplates, core libraries, reusable modules, training curricula, documentation, and underlying methodologies used in creating deliverables.

Website & Brand Assets: The Coder Roots name, logo, trade dress, website layout, graphics, course syllabi, and marketing media are protected by copyright, trademark, and other intellectual property laws.

Section 06

Payment Terms, Invoicing & Taxes

Commercial Billing: Software services invoices are issued according to milestones defined in the SOW (e.g., initial deposit, alpha release, beta approval, final deployment). Invoices are payable within 14 calendar days of receipt unless specified otherwise.

Student Tuition & Fees: Course tuition must be paid as per the agreed schedule. Failure to clear installment dues by scheduled deadlines may result in temporary suspension of portal and lab access.

Taxes: All quoted prices and service fees are exclusive of applicable taxes (including Goods and Services Tax - GST in India), which will be charged at statutory rates.

Currency & Gateways: Payments are accepted via authorized bank wire transfer, corporate credit/debit cards, or authorized digital payment gateways. Clients are responsible for any foreign transaction or intermediary banking fees.

Section 07

Confidentiality & Information Security (ISO 27001)

Non-Disclosure: Both Coder Roots and the client agree to hold in strict confidence all proprietary technical data, business plans, customer records, and trade secrets disclosed during the course of engagement.

Information Security Standards: In accordance with our ISO/IEC 27001:2022 certified processes, Coder Roots implements rigorous administrative, physical, and technical safeguards to protect all client code, database backups, and student data against unauthorized access, loss, or disclosure.

Duration: Confidentiality obligations survive for a period of three (3) years following the completion or termination of services, or indefinitely in the case of trade secrets.

Section 08

Warranties & Limitation of Liability

Warranty Period: Unless otherwise stated in the SOW, Coder Roots provides a 30-day post-deployment bug-fixing warranty covering demonstrable defects that cause deliverables to fail to conform to agreed technical specifications.

Disclaimer: Except as expressly set forth herein, all services, software, and training programs are provided 'as is' without warranties of any kind, whether express or implied, including warranties of merchantability or fitness for a particular purpose.

Liability Cap: To the maximum extent permitted by applicable law, Coder Roots' total aggregate liability arising out of or related to any engagement shall not exceed the total fees actually paid by the client under the specific SOW in the three (3) months preceding the claim.

Exclusion of Consequential Damages: In no event shall either party be liable for any indirect, punitive, special, incidental, or consequential damages, including loss of profits, data corruption, or business interruption.

Section 09

Governing Law & Dispute Resolution

Jurisdiction: These Terms and all client/student engagements shall be governed by and construed in accordance with the laws of India, and the courts at Sahibzada Ajit Singh Nagar (Mohali), Punjab shall have exclusive jurisdiction.

Amicable Resolution: Prior to initiating formal litigation, the parties agree to engage in good-faith negotiations between designated senior executive officers for a period of at least thirty (30) days.

We reserve the right to revise or update these Terms and Conditions periodically to reflect changes in regulatory standards, legal requirements, or operational practices. The updated version will be indicated by an updated 'Last modified' date at the top of this page.

Continued use of our website or services following any updates signifies your acceptance of the revised Terms and Conditions.
